FILMMAKER CONTENT LICENSING AGREEMENT

PARTIES
PLATFORM: TyphoonHub (Operating as Typhoon Film Hub), a digital independent film platform based in Abbotsford, British Columbia, Canada. Website: typhoonhub.ca | Email: selormtyphoon@gmail.com
FILMMAKER: The individual or entity submitting content as identified in the Submission Form completed at the time of upload. This Agreement may cover one or more Films submitted by the same Filmmaker under separate Submission Forms.
RECITALS
TyphoonHub operates an online streaming platform dedicated to showcasing independent films, documentaries, and short-form content from filmmakers worldwide. The Filmmaker desires to make certain audiovisual content available through the Platform under the terms and conditions set forth herein. In consideration of the mutual covenants contained in this Agreement, the parties agree as follows:
1. GRANT OF LICENSE
1.1 The Filmmaker hereby grants TyphoonHub a non-exclusive, worldwide, royalty-bearing license to host, stream, display, promote, and distribute the submitted content ("the Film") through the TyphoonHub platform and its associated marketing channels. This Agreement may apply to multiple Films submitted by the same Filmmaker; each Film accepted onto the Platform is governed by these terms.
1.2 This license does not transfer ownership of the Film. The Filmmaker retains all copyright and intellectual property rights.
1.3 TyphoonHub may use clips of up to two (2) minutes from the Film for promotional and marketing purposes without additional compensation.
1.4 TyphoonHub shall not sublicense, sell, or transfer the Film to any third-party platform without the prior written consent of the Filmmaker.
2. REVENUE SHARING & PAYMENT TERMS
2.1 Definition of Net Revenue: "Net Revenue" means gross revenue received by TyphoonHub from the applicable source (rentals, purchases, or advertising), less payment processing fees (e.g. Stripe transaction fees), applicable taxes, and any chargebacks or refunds. All other platform operating costs are absorbed by TyphoonHub's retained share and are not deducted before the Filmmaker's split is calculated.
2.2 Rentals & Purchases: The Filmmaker shall receive 85% (eighty-five percent) of net revenue generated from individual rentals ($2.99 CAD / 48-hour access) and individual purchases ($5.99 CAD / permanent access) of the Film. TyphoonHub retains 15% (fifteen percent) to cover platform operating costs.
2.3 Advertising Revenue Share: TyphoonHub operates an ad-supported streaming model. Once a Film accumulates a minimum of 1,000 verified views on the Platform, TyphoonHub will actively seek advertising placements associated with that Film's content page. The Filmmaker's share of net advertising revenue increases as the Film grows its audience:
- 1,000 โ 9,999 Views: 60% Filmmaker Share / 40% Platform Share
- 10,000 โ 49,999 Views: 65% Filmmaker Share / 35% Platform Share
- 50,000+ Views: 70% Filmmaker Share / 30% Platform Share
TyphoonHub does not guarantee a minimum level of advertising revenue and reserves the right to determine the timing and placement of advertisements at its sole discretion. Advertising revenue is included in the Filmmaker's monthly earnings statement.
2.4 Subscription Tier โ Revenue Structure: TyphoonHub offers viewer subscription plans that provide access to its general content library. Subscription fee revenue is retained entirely by TyphoonHub to fund platform operations, content discovery features, and filmmaker promotional tools. Filmmakers do not receive a direct share of subscription revenue. Filmmaker earnings are generated exclusively through the advertising revenue share described in Section 2.3 and individual rental or purchase transactions described in Section 2.2. By submitting content to TyphoonHub, the Filmmaker acknowledges and agrees to this revenue structure.
2.5 Referral Watch Token Bonus: If a Filmmaker refers a new paying subscriber to TyphoonHub using their unique referral link and that subscriber confirms their account, TyphoonHub will award the Filmmaker 10 (ten) additional Watch Tokens per confirmed referral. Watch Tokens may be used as described in Section 3. There is no cash component to this referral program. Self-referrals or fraudulent referrals will be disqualified.
2.6 Payment Schedule: Earnings will be calculated monthly and paid within 30 days of the end of each calendar month, provided the balance meets the minimum threshold of $25.00 CAD. If a Filmmaker's cumulative balance does not reach $25.00 CAD within six (6) consecutive months, TyphoonHub will issue a full payment of the outstanding balance at the end of that sixth month regardless of the threshold.
2.7 Late Payment Penalty: If TyphoonHub fails to issue payment within the 30-day window described in Section 2.6, a late interest charge of 1.5% per month will accrue on the outstanding balance until payment is made.
2.8 Payment Method: Payments are made via Stripe direct transfer or e-transfer to the banking details provided by the Filmmaker in the Submission Form.
2.9 Revenue Reports: TyphoonHub will provide monthly earnings statements accessible via the Filmmaker's dashboard, detailing rental and purchase revenue, advertising revenue, Watch Token bonuses, and any applicable deductions.
2.10 Free Catalog & Lifetime Pass: Films made available as part of TyphoonHub's free catalog or Lifetime Pass are not eligible for per-stream rental or purchase revenue; inclusion in these tiers requires separate written agreement.
3. SUBMISSION & WATCH TOKENS
3.1 During the current launch promotion, the submission listing fee of $150 CAD is waived at no cost to the Filmmaker.
3.2 Upon acceptance of each Film, TyphoonHub will issue the Filmmaker 300 Watch Tokens, which may be distributed to cast, crew, press, and audience members to view the Film at no charge. Additional Watch Tokens may be earned through the referral program described in Section 2.5.
3.3 Watch Token views are complimentary and do not generate revenue for either party.
3.4 Films are reviewed within 5-10 business days of submission. TyphoonHub reserves the right to decline submissions that do not meet the Content Guidelines set out in Section 11 of this Agreement.
4. FILMMAKER WARRANTIES & REPRESENTATIONS
The Filmmaker represents and warrants that:
- The Filmmaker is the sole owner or authorized licensor of all rights in the Film, including music, footage, and clearances.
- The Film does not infringe upon any third-party intellectual property rights.
- The Film does not contain any content prohibited under Section 11 of this Agreement.
- All individuals appearing in the Film have provided appropriate release consents.
- The submission of the Film does not violate any existing distribution or exclusivity agreements.
4.1 The Filmmaker agrees to indemnify and hold harmless TyphoonHub, its officers, agents, and partners from any claims, damages, or losses arising from a breach of these warranties.
5. TERM & TERMINATION
5.1 This Agreement commences on the date the Film is accepted onto the Platform and continues for an initial term of one (1) year, automatically renewing annually unless terminated.
5.2 Either party may terminate this Agreement with 30 days written notice via email.
5.3 Upon termination, TyphoonHub will issue a final earnings payment for any outstanding balance to the Filmmaker before removing the Film from the Platform. The Film will be removed within 14 business days of the final payment being issued.
5.4 TyphoonHub may terminate this Agreement immediately and remove the Film without notice if it is found to violate the Content Guidelines outlined in Section 11 or the warranties in Section 4. Any earned but unpaid revenue up to the date of removal will still be paid to the Filmmaker.
6. EXCLUSIVITY
6.1 This Agreement is non-exclusive. The Filmmaker retains the right to simultaneously distribute the Film on other platforms, including but not limited to Vimeo, YouTube, festival circuits, and other streaming services.
6.2 The Filmmaker agrees to notify TyphoonHub if the Film is removed from public availability or if third-party distribution terms change materially.
7. DATA & ANALYTICS OWNERSHIP
7.1 TyphoonHub will provide the Filmmaker with access to viewership analytics for their Film(s) through the Filmmaker dashboard, including total views, audience geographic data, and engagement metrics.
7.2 The Filmmaker retains full ownership of and rights to their viewership data. The Filmmaker may use this data for any purpose, including but not limited to grant applications, festival submissions, press kits, sponsorship proposals, and distribution negotiations.
7.3 TyphoonHub may use aggregated, anonymized platform-wide data for internal reporting and marketing purposes but shall not disclose Film-specific data to third parties without the Filmmaker's written consent.
8. FOUNDING CREATOR BENEFITS
Filmmakers who submit content during TyphoonHub's launch period (prior to the platform reaching 100 Founding Creators) are designated as Founding Creators and receive the following benefits for the lifetime of their Agreement:
- Featured placement on the TyphoonHub homepage and discovery pages as the platform grows.
- Priority consideration in TyphoonHub's advertising sales pitch to potential advertisers.
- Founding Creator badge displayed on their profile and film pages.
- 300 Watch Tokens per Film upon acceptance, plus 10 bonus tokens per confirmed subscriber referral.
- Submission fee waived for all Films submitted during the launch period.
9. FESTIVAL & PRESS OPPORTUNITIES
9.1 TyphoonHub will notify the Filmmaker of relevant film festival submission opportunities, press features, and promotional collaborations that may be a fit for their Film(s). Notification will be made via email or the Filmmaker's dashboard.
9.2 Participation in any festival or press opportunity is at the sole discretion of the Filmmaker. Filmmakers apply independently and TyphoonHub does not submit on the Filmmaker's behalf unless separately agreed in writing. Any submission fees associated with festival applications are the responsibility of the Filmmaker.
9.3 TyphoonHub makes no guarantee of festival acceptance or press coverage and shall not be liable for outcomes related to third-party submissions or features.
10. PLATFORM OBLIGATIONS
TyphoonHub agrees to:
- Host and stream the Film in a technically competent manner.
- Provide accurate monthly revenue reporting covering rentals, purchases, and advertising income.
- Actively seek advertising partners once a Film reaches the 1,000 verified view threshold described in Section 2.3.
- Notify Filmmakers of relevant festival and press opportunities as described in Section 9.
- Promote the Film through TyphoonHub's social media, newsletter, and editorial features at its discretion.
- Maintain the Film's metadata (title, description, poster) as provided by the Filmmaker.
- Process payments in a timely manner per Sections 2.6 and 2.7.
- Provide Filmmakers with access to their viewership analytics as described in Section 7.
11. CONTENT GUIDELINES
TyphoonHub is an open platform built for independent voices. We welcome all genres, all languages, AI-generated films, student films, experimental work, and films with challenging themes. The following guidelines exist to protect the platform, its audiences, and its filmmakers.
Content We Welcome: Independent films, documentaries, short films, and features of any genre. Films in any language (provided non-English dialogue is accompanied by subtitles). AI-generated or AI-assisted films. Student films, experimental and art house work. Films with graphic language, mature themes, or challenging subject matter, provided they serve the story.
Technical Quality Standard: TyphoonHub does not require broadcast-standard technical quality. Films shot on smartphones, with limited budgets, or with unconventional visual styles are welcome. Technical limitations such as shaky camera work or raw audio are acceptable where they serve the story or reflect a deliberate creative choice. Submissions may be declined only where poor technical quality significantly impairs the viewer's ability to follow or engage with the content, and where it does not appear to be an intentional stylistic decision.
Content That Will Be Rejected: Pornographic or sexually explicit content. Content promoting hate speech, racism, or violence against any individual or group. Content that glorifies or instructs in illegal activity. Films submitted without proper rights clearances for all music, footage, and third-party materials. Plagiarized or stolen content.
11.1 TyphoonHub reserves the right to make final decisions on content acceptance. Where a submission falls in a grey area, TyphoonHub may contact the Filmmaker for additional context before making a determination.
12. LIMITATION OF LIABILITY
12.1 TyphoonHub shall not be liable for any indirect, incidental, or consequential damages arising from the distribution of the Film on the Platform.
12.2 TyphoonHub's total liability under this Agreement shall not exceed the total revenue paid to the Filmmaker in the 12 months preceding any claim.
12.3 TyphoonHub does not guarantee a minimum number of views, rentals, purchases, or advertising placements.
13. GOVERNING LAW & DISPUTE RESOLUTION
13.1 This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada.
13.2 Any disputes arising under this Agreement shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Abbotsford, BC under the Arbitration Act (BC).
14. GENERAL PROVISIONS
14.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions.
14.2 Amendments: This Agreement may only be modified by written agreement signed by both parties.
14.3 Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
14.4 Notices: All notices shall be sent via email to selormtyphoon@gmail.com (TyphoonHub) and the email address provided in the Filmmaker's Submission Form.
14.5 Force Majeure: Neither party shall be in breach for delays caused by circumstances beyond reasonable control.
